Правовая неопределенность статуса «временно исполняющий обязанности единоличного исполнительного органа» как лица, заинтересованного в совершении сделок

<jats:p>в настоящей статье автором проанализированы нормы федеральных законов о сделках, в совершении которых имеется заинтересованность (далее – сделки с заинтересованностью). Установлено, что перечень лиц, заинтересованных в совершении сделок (далее – перечень заинтересованных лиц), сформирован путем перечисления конкретных должностей (исполнительный директор, заместитель ЕИО, заместитель председателя и проч.). При этом временно исполняющий обязанности единоличного исполнительного органа (далее – ВрИО ЕИО) не указан в перечне заинтересованных лиц, то есть не уделено правовое значение факту заключения таким лицом сделки.</jats:p> <jats:p>in this article, in the context of the conducted research, the author analyzes the provisions on interested-party transactions (hereinafter referred to as interested-party transactions) contained in federal laws. It has been determined that the list of interested persons (hereinafter – the list of interested persons) is structured by enumerating specific positions (executive director, deputy of the sole executive officer, deputy chairman, and others). At the same time, the temporary acting sole executive officer (hereinafter – Interim SEO) is not indicated in the list of persons interested in entering into a transaction – that is, no legal significance is attached to the fact that such a person enters into the transaction.</jats:p>
