Abstract

<title>Abstract</title> <p>Traditional asset-heavy industries, such as mining, steel, oil and gas, and heavy manufacturing, face an existential dilemma known as the "Sustainability Paradox": the urgent mandate to comply with stringent Environmental, Social, and Governance (ESG) criteria while maintaining short-term financial profitability and fiduciary duties to shareholders. Conventional corporate governance frameworks often treat ESG as a peripheral risk-management function or compliance check, failing to resolve the fundamental structural trade-offs inherent in "brown" industries. This paper introduces a novel institutional architecture: Dynamic Governance Ambidexterity (DGA). Moving beyond static board committees, the DGA framework operationalizes a matrixed oversight mechanism that links real-time Shadow Carbon and Social Pricing (SCSP) algorithms directly to executive compensation and capital allocation protocols. By deploying this innovative model, boards can dynamically shift their strategic frontier, converting structural ESG liabilities into transition assets. This study evaluates the efficacy of DGA through an analysis of governance mechanisms across traditional sectors, providing a comprehensive roadmap for transforming governance from a defensive compliance tool into a driver of sustainable competitive advantage.</p>
