Abstract

<jats:p>The article provides a study of the peculiarities encountered in the enforcement practice of supply contracts. It examines key issues that Russian arbitration courts regularly face when adjudicating disputes related to the conclusion, performance, and termination of goods supply agreements. Special attention is given to questions concerning qualification of legal relations, proving mandatory terms of transactions, application of measures of legal liability, interpretation of evaluative concepts, and other important aspects of judicial consideration of such disputes. A separate focus is placed on the application of the estoppel principle in situations where parties attempt to challenge the validity of a supply contract by disputing its formation. Critical areas of analysis include problems associated with quality and quantity of supplied goods, assessment of materiality of violations committed by contracting parties, as well as legal consequences of unilateral refusal to perform obligations under the agreement. Changes in court approaches from strict formalism towards taking into account actual behavior of transaction participants are analyzed, along with the influence of specific provisions of the civil code of russia, including article 333 (“reduction of penalty”) and article 523 (“unilateral refusal to fulfill obligation”).</jats:p>
