Abstract

<jats:p>This article examines the legal nature of abuse of corporate control as a key basis for applying the principle of "piercing the corporate veil." The principle of limited liability, a fundamental one in corporate law, distinguishes between the liability of a legal entity and its participants. However, controlling persons can abuse their powers, acting solely in their personal interests, thereby harming the corporation, its participants, and creditors. In such cases, courts apply the concept of "piercing the corporate veil," holding controlling persons liable for corporate liability, particularly in bankruptcy cases, as well as on the grounds provided for in Articles 10 and 53.1 of the Civil Code of the Russian Federation. The article emphasizes the need to systematize the criteria for applying this principle in legislation to ensure legal certainty and maintain a balance of interests among participants in corporate legal relations.</jats:p>
